Terms of Service

These Terms of Service ("Terms") govern your use of Georion ("Georion", "we", "us") and the services available at georion.app (the "Service"). By accessing or using the Service, you agree to these Terms.

1. Acceptance of terms

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

To use the Service, you must:

  • Be at least 18 years old (or the age of majority in your jurisdiction)
  • Have the legal capacity to enter a binding contract
  • Not be on any government sanctions list or located in a sanctioned country
  • Not have been previously banned from the Service

3. Your account

3.1 Account creation

You must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

3.2 Security responsibility

Notify us immediately at security@georion.app if you suspect unauthorized access. We are not liable for losses arising from your failure to maintain security.

3.3 Team accounts

On team plans (Agency, Enterprise), the plan administrator is responsible for adding/removing members and for their conduct under these Terms.

4. Subscription & billing

4.1 Plans & pricing

Current plans and pricing are available at georion.app/pricing. Prices exclude applicable VAT, GST, or sales tax unless otherwise stated.

4.2 Payment

All payments are processed by Stripe. You authorize recurring charges at the selected billing frequency until you cancel. Failed payments may result in service suspension after 7 days.

4.3 Free trial

Starter includes a 7-day free trial. A valid payment method is required to start, but you are not charged if you cancel before the trial ends. Only one trial per organization.

4.4 Upgrades, downgrades, cancellation

  • Upgrades: take effect immediately; proration applied
  • Downgrades: take effect at the next billing cycle
  • Cancellation: you retain access until the end of the current billing period; no refunds for partial months
  • Annual plans: prorated refund for unused months, minus a 5% cancellation fee

4.5 Price changes

We may change prices with at least 30 days' notice via email. Existing customers on paid plans are grandfathered at their current price for 12 months from the notice date.

4.6 Refunds

We offer a 14-day money-back guarantee on first subscription month. After that, refunds are at our discretion. Refund requests: billing@georion.app.

5. Acceptable use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Spam, phish, scrape unauthorized data, or distribute malware
  • Attempt to reverse-engineer, decompile, or extract source code from the Service
  • Circumvent rate limits, tier limits, or access controls
  • Resell, sublicense, or lease the Service without a written Partner or Agency agreement
  • Use the Service to build a directly competing product
  • Submit content that infringes intellectual property rights, is defamatory, or violates privacy
  • Probe, stress-test, or attack the infrastructure
  • Use the API to abuse, harass, or mislead end users

We may suspend or terminate accounts that violate these rules, with or without notice.

6. Intellectual property

6.1 Our IP

Georion, the Georion logo, Audit Engine+, Sensor+, and all associated trademarks, software, and content are the exclusive property of Georion. Nothing in these Terms transfers ownership to you.

6.2 Your license to the Service

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes for the duration of your paid subscription.

7. Your content

7.1 Ownership

You retain full ownership of all content you submit — URLs, prompts, reports, articles generated, brand assets.

7.2 License to us

You grant Georion a limited, non-exclusive license to process your content solely to deliver the Service. We do not train AI models on your content, and we do not use your content for marketing without explicit written permission.

7.3 Responsibility

You are solely responsible for your content. You represent that you have all necessary rights, consents, and licenses.

8. Third-party services

The Service integrates with third-party services (OpenAI, Anthropic, Google, Perplexity, Microsoft, xAI, Stripe, Cloudflare, etc.). Your use of those services is governed by their respective terms. We are not liable for third-party service behavior or outages.

9. Availability & SLA

  • Free, Starter, Pro, Growth plans: commercially reasonable uptime; no formal SLA
  • Agency plan: 99.5% monthly uptime target
  • Enterprise plan: 99.9% monthly uptime SLA with financial credits for breaches (see MSA)

Scheduled maintenance is announced at least 48 hours in advance. Emergency maintenance may occur without notice. Real-time status: status.georion.app.

10. Termination

10.1 By you

You may cancel anytime from Settings → Billing. Cancellation takes effect at the end of the current billing period.

10.2 By us

We may suspend or terminate your access if you:

  • Breach these Terms
  • Fail to pay on 3 consecutive billing cycles
  • Pose security, legal, or reputational risk to Georion or other customers

For non-breach terminations initiated by us, we provide 30 days' notice and a prorated refund of unused months.

10.3 Post-termination

You may export your data within 30 days of termination. After 90 days, we may delete all data. See Privacy Policy for retention details.

11. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE". To the fullest extent permitted by law, we disclaim:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, error-free, or meet your requirements
  • Warranties about the accuracy or reliability of AI-engine responses (ChatGPT, Claude, Gemini, Perplexity, Copilot, Grok) — these are third-party outputs we surface but do not control

Georion does not guarantee specific search rankings or AI visibility outcomes. Results depend on factors beyond our control.

12. Limitation of liability

To the maximum extent permitted by law:

  • Our aggregate liability for any claim is capped at the greater of $500 or the fees you paid to Georion in the 12 months preceding the claim
  • We are not liable for indirect, incidental, consequential, special, or punitive damages
  • We are not liable for lost profits, lost revenue, lost data, or business interruption

Some jurisdictions do not allow these limitations. To the extent they apply, these limitations apply only to the maximum extent permitted.

13. Indemnification

You agree to indemnify and hold Georion harmless from any claims, damages, or costs arising from (a) your use of the Service, (b) your content, (c) your breach of these Terms, (d) your violation of any third-party right.

14. Governing law & jurisdiction

These Terms are governed by the laws of Switzerland (excluding its conflict-of-laws rules). Disputes are subject to the exclusive jurisdiction of the courts of Aargau, Switzerland.

Nothing in this clause limits consumer rights under mandatory local law in your jurisdiction.

15. Changes to terms

We may update these Terms. Material changes are announced via email at least 30 days before taking effect. Continued use after the effective date constitutes acceptance. If you disagree, cancel before the effective date.
